These Terms of Use & Legal Notice (“Terms”) govern access to and use of epigenus.org and the information, materials, functionality, forms, graphics, documents, and other content made available through the website (collectively, the “Site”).

EpiGenus and its associated intellectual property are owned and controlled by PrimeBiz Corporation. For purposes of these Terms, references to “EpiGenus,” “we,” “us,” or “our” include PrimeBiz Corporation where applicable.

By accessing or using the Site, you acknowledge these Terms. If you do not agree with them, you should not use the Site.

1. Purpose of the Site

The Site provides information concerning EpiGenus, its areas of research and development, intellectual property, conceptual and technical framework, potential applications, validation processes, strategic value, and opportunities for qualified parties to begin a discussion with EpiGenus.

The Site is intended principally for informational, evaluation, business-development, research, strategic, and potential transaction-related purposes.

Information appearing on the Site is not intended to constitute a complete technical disclosure of EpiGenus technology, methodology, intellectual property, research, mathematical methods, software, processes, discoveries, or know-how.

2. No Offer, Commitment, or Transaction

Nothing on the Site constitutes an offer, commitment, representation of contractual intent, solicitation to purchase securities, investment recommendation, or binding proposal for the sale, licensing, acquisition, financing, partnership, or transfer of EpiGenus or any related asset or intellectual property.

Any potential transaction, technical review, commercial relationship, investment, acquisition, licensing arrangement, or other relationship involving EpiGenus will be subject to separate evaluation, due diligence, negotiation, approvals, and definitive written agreements where applicable.

No person should rely on the Site as a substitute for such due diligence or agreements.

3. Intellectual Property

Unless otherwise indicated, the Site and its contents, together with the intellectual property associated with EpiGenus, are owned, controlled, or used under appropriate authorization and are protected by applicable intellectual-property and other laws.

This includes, without limitation, text, graphics, visualizations, designs, concepts, diagrams, page structures, logos, names, terminology, presentation materials, research descriptions, methods, documentation, and other materials made available through the Site.

The name EpiGenus, associated logos, branding, and identifying marks may not be used in a manner that suggests sponsorship, endorsement, affiliation, or authorization without prior written permission.

Access to publicly available Site content does not grant any license or ownership right in EpiGenus intellectual property.

In particular, nothing published on the Site grants any express or implied right to reproduce, implement, commercialize, derive, reverse engineer, imitate, adapt, train upon, or otherwise exploit any underlying EpiGenus discovery, architecture, process, methodology, mathematical approach, algorithm, software concept, research method, trade secret, confidential information, patent right, know-how, or other intellectual property.

All rights not expressly granted are reserved.

4. Limited Permission to Use Public Site Content

You may access and review publicly available Site content for legitimate personal, professional, academic, evaluation, or business purposes.

Unless EpiGenus provides prior written authorization, you may not:

  • reproduce substantial portions of the Site for commercial distribution;
  • republish or redistribute Site content as your own;
  • remove intellectual-property, copyright, attribution, or proprietary notices;
  • create misleading derivative materials attributed to EpiGenus;
  • use Site content to falsely imply an association with or endorsement by EpiGenus;
  • systematically scrape, harvest, extract, index, or compile Site content by automated means in violation of these Terms;
  • use Site content or protected EpiGenus materials to train, fine-tune, benchmark, evaluate, construct, develop, or improve a commercial artificial-intelligence, machine-learning, or computational reasoning system without prior written authorization; or
  • attempt to obtain non-public technical information through circumvention of access controls, security measures, protected-review procedures, or other safeguards.

These restrictions apply to the fullest extent permitted by applicable law and do not restrict rights that cannot lawfully be excluded.

5. Protected Discussions and Confidential Materials

Certain EpiGenus information may be made available only as part of a protected discussion, technical review, due-diligence process, or other controlled evaluation.

Access to the public Site does not authorize access to such information.

Protected or confidential information may be subject to a separate nondisclosure agreement, confidentiality agreement, evaluation agreement, data-room agreement, access conditions, or other written terms.

Where a separate written agreement exists, that agreement governs the information and activities within its scope. If there is a conflict between these Terms and a separately executed agreement, the separately executed agreement will control with respect to that conflict.

No confidentiality obligation is created merely by viewing the public Site.

6. Communications Submitted to EpiGenus

The Site may permit visitors to contact EpiGenus or request a protected discussion.

You are responsible for ensuring that information you submit is accurate, lawful, and that you are authorized to provide it.

Unless EpiGenus has expressly agreed in writing to receive information on a confidential basis, communications sent through the public Site or its forms should not contain confidential, proprietary, export-controlled, security-sensitive, or trade-secret information.

Submission of information through the Site does not by itself create a confidential, fiduciary, advisory, employment, partnership, agency, acquisition, or other special relationship.

If EpiGenus agrees to a protected discussion, confidentiality will be governed by the applicable written agreement or expressly stated protected-review conditions.

7. Research, Technical, Scientific, and Mathematical Information

The Site may discuss research, theories, technical concepts, mathematical methods, cognitive frameworks, potential applications, demonstrations, hypotheses, experimental work, or conclusions associated with EpiGenus.

Public descriptions may be intentionally limited to protect intellectual property and confidential methods. Accordingly, Site content should not be interpreted as a complete disclosure of the evidence, derivations, methodologies, implementations, source materials, demonstrations, or supporting technical work underlying a statement.

Statements concerning potential capabilities, uses, applications, value, impact, or future development may involve judgments, hypotheses, expectations, or forward-looking assessments.

Visitors conducting scientific, technical, commercial, investment, or acquisition evaluation should perform their own independent analysis and should not treat public Site content as a substitute for protected technical review or formal due diligence.

8. No Professional Advice or Reliance

The Site does not provide legal, financial, investment, accounting, scientific-certification, engineering, medical, or other regulated professional advice.

Information on the Site is provided for general informational and evaluation purposes.

Decisions involving investment, acquisition, deployment, research reliance, intellectual property, regulatory compliance, or other significant matters should be based on appropriate independent professional and technical advice.

9. Accuracy and Availability

EpiGenus seeks to present information responsibly but does not warrant that all Site content will at all times be complete, current, error-free, or suitable for a particular purpose.

Research, technology, terminology, applications, strategic assessments, and other information may develop or change over time.

EpiGenus may modify, update, correct, remove, restrict, or discontinue any portion of the Site without notice.

10. Third-Party Information and Links

The Site may refer to third-party organizations, publications, technologies, websites, products, institutions, or other external resources.

Such references do not necessarily constitute endorsement, sponsorship, partnership, affiliation, or approval.

EpiGenus does not control third-party websites or services and is not responsible for their content, availability, privacy practices, security, or terms.

11. Prohibited Conduct

You may not use the Site to:

  • violate applicable law or the rights of another person;
  • interfere with the operation, availability, or security of the Site;
  • introduce malicious code or attempt unauthorized access;
  • probe, scan, or test security systems without authorization;
  • impersonate another person or misrepresent your affiliation;
  • collect personal information from Site users without lawful authority;
  • circumvent technical or contractual restrictions;
  • use automated systems in a manner that materially burdens, disrupts, or damages the Site; or
  • obtain or attempt to obtain confidential or non-public EpiGenus materials without authorization.

EpiGenus may restrict or terminate access where it reasonably believes the Site is being misused.

12. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and its public content are provided on an “as is” and “as available” basis.

EpiGenus makes no warranty, express or implied, regarding uninterrupted availability, accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, commercial outcome, technical result, or suitability of Site content for any particular decision or application.

Nothing in these Terms excludes any warranty, right, or remedy that cannot lawfully be excluded.

13. Limitation of Liability

To the fullest extent permitted by applicable law, EpiGenus and its owners, directors, officers, representatives, contributors, contractors, personnel, agents, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or similar damages arising from or connected with access to, use of, inability to use, or reliance upon the Site or its public content.

This includes, without limitation, loss of business opportunity, profits, data, reputation, anticipated savings, or commercial advantage.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

14. Indemnification for Misuse

To the extent permitted by applicable law, you agree to be responsible for losses, liabilities, claims, or reasonable costs arising from your unlawful use of the Site, violation of these Terms, infringement of another party's rights, or unauthorized use or disclosure of protected EpiGenus material obtained through your actions.

15. Privacy

Use of the Site is also subject to the EpiGenus Privacy Policy.

The Privacy Policy describes how personal information submitted through or associated with the Site may be collected, used, protected, retained, and otherwise handled.

16. International Access

The Site may be accessible from jurisdictions throughout the world.

EpiGenus does not represent that Site content is appropriate, lawful, or available for every jurisdiction.

Users accessing the Site from outside Canada are responsible for compliance with laws applicable to them.

17. Governing Law and Jurisdiction

These Terms and any dispute relating to the public Site will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to any mandatory rights available under applicable law, disputes arising from or relating to these Terms or the public Site will be submitted to the courts having jurisdiction in Ottawa, Ontario, Canada, and you consent to the jurisdiction of those courts.

Separate agreements relating to confidentiality, intellectual property, technical review, acquisition, licensing, financing, or another transaction may specify different governing-law or dispute-resolution provisions.

18. Changes to These Terms

EpiGenus may update these Terms periodically to reflect changes to the Site, its activities, legal requirements, security practices, intellectual-property protections, or business operations.

The “Last Updated” date at the beginning of this page will identify the most recent revision.

Continued use of the Site after revised Terms are published constitutes acknowledgement of the revised Terms to the extent permitted by applicable law.

19. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

20. No Waiver

Failure by EpiGenus to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.
